The Supervisory Board at GK Software SE has the task of supporting the Management Board in its leadership, management and coordination work on behalf of the company and providing advice. It also controls and checks that the company managers are acting in line with the current laws as well as the company’s articles of association and in line with the valid rules of procedure.

The Supervisory Board is therefore involved in all the decisions that are of fundamental importance for GK Software SE. This is guaranteed through a constant and intense exchange of information between the bodies. The company’s Management Board and Supervisory Board work closely together for the benefit of the company.

The Supervisory Board at GK Software SE is comprised of three members in line with the articles of association. Provided that the annual shareholders’ meeting does not decide anything different, the members of the Supervisory Board are elected for a period until the end of the annual shareholders’ meeting, which decides to approve their actions for the fourth business year after the start of their time in office.

Dr Philip Reimann has been advising GK Software SE about capital market legislation matters for about ten years and was appointed by Chemnitz Local Court as a member of the Supervisory Board and its Chairman at the suggestion of the Management Board, following the premature resignation of the former Chairman of the Supervisory Board, Uwe Ludwig. Dr Reimann has been working as a solicitor since 2002 and as a tax accountant since 2006; he has been a partner at Dierkes Partner since 2006 too. He has an extensive knowledge of issues, primarily in the fields of company, capital market and tax law. He is particularly skilled in the areas of strategy, controlling, compliance as well as selecting and developing personnel (human resources).

Thomas Bleier has been supporting the development of GK Software for almost 15 years and has been the Deputy Chairman of the Supervisory Board since 2011. As regards the supervisory body at GK Software SE, he brings with him many years of experience in management positions in the banking sector and as a member of the supervisory board at other public limited companies. He is particularly responsible for the areas of expertise covering finances, administration, liquidity and controlling and he fulfils the role of financial expert on the Supervisory Board.

Herbert Zinn has been a member of the Supervisory Board since 2011. Following responsible management positions at several large retail organisations, he has been a successful self-employed entrepreneur for almost 30 years. He is particularly responsible for the areas of expertise covering marketing, innovations, the market and competitive environment as well as property and business site issues on the Supervisory Board at GK Software SE.
