Schöneck, 05 June 2014 - The annual shareholders' meeting at GK SOFTWARE AG will not take place on 18 June 2014, as announced in the Federal Gazette on 9 May this year. The reason for this is a change that is necessary in the financial statement because of the new emphasis on one accounting issue; this has been made in conjunction with the company's auditors. The issue came to light during the auditor's checks on the report for the first quarter of the 2014 business year. As a result, it is necessary to transfer the allocation of one invoice for expenses to the previous year.
According to preliminary figures, particular items in the individual accounts (in line with the German Commercial Code) and in the consolidated accounts (in line with IFRS) will change as a result of this issue. In the amended consolidated accounts for 2013, the Group's annual profits are estimated to be by EUR 0.19 million lower than previously reported. The changes will have an effect on the relevant carrying amounts into the quarterly report for 2014; this is also being amended. These changes will not affect the profit and loss statement in the quarterly report.
The Management Board at GK SOFTWARE AG will speedily introduce the changes in the individual accounts and the consolidated accounts and promptly convene the annual shareholders' meeting again once the annual accounts have been settled and the Supervisory Board has approved the consolidated annual accounts. The company will not make any changes to the agenda or the suggestions for decisions made by management, including the proposal by the Management Board to pay a dividend of EUR 0.25 per share.
